What the holder owns
Robinhood’s own answer is short: “Stock Tokens are tokenized debt securities issued by Robinhood Assets (Jersey) Limited.”1 The issuer was incorporated in Jersey on 23 October 2025, its subscriber share passed to Robinhood International, Inc., and “The Issuer itself is not regulated by the FMA,” the Liechtenstein regulator that approved its base prospectus of 25 June 2026. Each token is a Swiss-law ledger-based security, and the token contract is the register: “The entitlement to the Products exclusively results from the Securities Ledger.”2
What the issuer owes is money, not a share. The Redemption Amount is the underlying’s price on its reference exchange, less fees, paid in U.S. dollars. Condition 4.3 says holders “do not have any direct rights or claims to the Underlying, the Collateral or any other asset forming part of the Secured Property,” and no voting rights. The backing is real but held by others. Alpaca Securities LLC holds the shares as custodian and broker, and Security Agent Services AG holds security over them for holders.32 The notes are “secured, limited recourse obligations”: if a series’ collateral falls short, holders have no claim on anything else the issuer owns.2
Three terms matter for a long holding. The NVIDIA Final Terms let the issuer lend the shares to a Prime Borrower, “who is permitted to further lend the Underlying to End Borrowers.”3 Dividends are not paid out: “the dividend is automatically reinvested,”1 and an on-chain multiplier raises the shares each token stands for.4 And the issuer may raise its investor fee to as much as 2.50% on notice, and charge a management fee of up to 0.50% a year.2
In the SEC staff’s terms this is the synthetic model: a third party’s “linked security” that “is not an obligation of the issuer of the referenced security and confers no rights or benefits from the issuer of the referenced security.”5
Can a US client own it?
No. Robinhood says: “Stock Tokens are not available in the US or to US persons and are subject to restrictions in other jurisdictions, including Canada, the United Kingdom, and Switzerland.”1 The prospectus rests on Regulation S. The tokens “may not be offered, sold or delivered within the United States to, or for the account or benefit of U.S. Persons,” and may be delivered only “to transferees that are not U.S. Persons.”2 The bar follows the token, not only the first sale.
Outside the United States the program is wide open. Robinhood’s launch post of 1 July 2026 says the tokens are “available today on the Robinhood Wallet in more than 120 countries.”6 The Final Terms state “There is no Minimum Investment Amount.”3 Ketju’s reading found no allowlist in the contract, so anyone outside the barred countries can buy on a Robinhood Chain exchange without seeing the issuer.7
Who holds the freeze key
The prospectus gives the issuer, acting as Tokenizer, power over every token: “The smart contract may block, pause or freeze interactions with or by addresses … or may seize the Products and transfer them to a competent authority,” where tokens are tied to a sanctions event or to money laundering or other illicit activity “as determined by the Issuer.” It says those powers may be used only in listed cases, among them a sanctions event, an order from a court or regulator, and a redemption.2
The deployed code goes further. Every Stock Token is a proxy that takes its code from one registry contract on Robinhood Chain. Ketju read that code, which is verified on Sourcify, and its role holders on 23 September 2026. A function called adminBurn lets one role burn any holder’s balance, with no check for a pause or a block. One blocklist governs every transfer. One role can pause all 195 tokens at once. One role can swap the code behind every token in a single transaction, with no delay. Each of the ten live roles was held by an address with no contract code: a single private key, not a multisig.789
So the document and the code disagree. The prospectus says the issuer will use these powers only in narrow cases; the code lets one key take a token from any wallet for any reason. The chain adds its own layer. The Atlas chart for Robinhood Chain records a single sequencer and a transaction filter that can reject even transactions forced in from Ethereum.
How a holder gets out
By selling. Only Authorised Participants subscribe and redeem with the issuer, and the NVIDIA Final Terms name one: Bitstamp Global Ltd of the British Virgin Islands.3 An ordinary holder sells to it under its checks, or into a pool on Robinhood Chain. Minting and burning run from Monday 02:00 to Saturday 02:00 Central European Time; trading on chain runs all week.4
Direct redemption is a fallback. A holder who is not an Authorised Participant may redeem with the issuer only if every Authorised Participant is in insolvency proceedings not dismissed within 90 days, or has resigned or been removed with no replacement within 30 days, or the issuer posts a notice allowing it.2 Even then the holder must pass the issuer’s KYC and AML checks, and receives cash, not shares. If the issuer fails, “an independent security agent will sell the underlying shares, and arrange for the cash proceeds to be paid to token holders.”1
A sale happens at the pool’s price, not the share’s. The Final Terms warn, “The Redemption Amount per Product is not necessarily the secondary market price per Product.”3 Robinhood discloses a gap when a token’s price “differs from its underlying’s reference price by 5% or more for seven consecutive trading days.”10
What has gone wrong or changed
- June 2025. Robinhood launched its first Stock Tokens in the EU, on Arbitrum.11
- 2 July 2025. After Robinhood offered tokens linked to OpenAI, OpenAI said: “These ‘OpenAI tokens’ are not OpenAI equity. We did not partner with Robinhood, were not involved in this, and do not endorse it.” Robinhood’s chief executive replied that the tokens “aren’t technically ‘equity.’”12
- 1 July 2026. Robinhood Chain opened its public mainnet and the Jersey tokens launched. The first generation, renamed Classic Stock Tokens, stayed in the Robinhood Europe app.6 Ketju’s memo records the Classic tokens as a contract with Robinhood Europe, UAB, a separate product that never leaves the app.
- 21 September 2026. The issuer gave notice that it will add “Atomic Settlement,” hold the USDG stablecoin as collateral “on a temporary short-term basis,” appoint Bitstamp as a new custodian, and amend every series “without the consent of Investors of each Series.” The changes take effect when a supplement approved by the FMA is published, and no sooner than 30 calendar days after the notice, so not before 21 October 2026.13
- 23 September 2026. Ketju read the contracts and rejected the program. The research file gives the reasons.
What an advisor should record
- That the client holds a debt security of Robinhood Assets (Jersey) Limited, with the series and ISIN from its Final Terms, and not a share.
- Where and when the client acquired it, and the client’s U.S.-person status on that date.
- The wallet address, and who holds its key.
- The role keys on the registry contract and the date they were read; a new holder, a block, or a burn reopens the file.
- The exit the client actually has: a sale on Robinhood Chain or to Bitstamp Global Ltd, and the price gap on the day.
- Whether lending of the underlying has begun for the series, and the fee rate in force.
