SEC bars Prosperity operator Michael Talento over unregistered brokerage
Regulation · · Ketju Research
What changed
The SEC settled proceedings against Michael Talento for unregistered brokerage through Prosperity, where customers funded accounts with Bitcoin or other crypto assets. The order finds brokerage activity involving stock-based CFDs classified as security-based swaps and imposes a cease-and-desist order, an association bar with a right to apply for reentry after two years, and a $65,000 penalty payable in installments. Talento did not admit the findings except jurisdiction and the limited bankruptcy-discharge provision. The order applies existing stock-based-swap registration requirements and does not classify all crypto CFDs as securities.
