SEC bars Prosperity operator Jordan Morgan over unregistered brokerage
Regulation · · Ketju Research
What changed
The SEC settled proceedings against Jordan Morgan for unregistered brokerage through Prosperity's crypto-funded trading platform. The order finds brokerage activity involving stock-based CFDs constituting security-based swaps and imposes a cease-and-desist order, an association bar with a right to apply for reentry after two years, and a $65,000 penalty payable in installments. Morgan did not admit the findings except jurisdiction and the limited bankruptcy-discharge provision. The order does not classify all crypto assets or crypto CFDs as securities.
