# xStocks, explained: a Jersey tracker certificate that pays like the share

> An xStock is a bearer debt instrument issued by Backed Assets (JE) Limited, a Jersey company in the group Kraken agreed to buy in December 2025. It tracks a U.S. stock, gives no vote, is closed to U.S. persons, and on Solana carries a key that can move tokens out of any wallet.

## What the holder owns

Backed’s summary is plain: “Each xStock is a bearer debt instrument classified as a tracker certificate.” It “does not confer shareholder voting rights,” and xStocks “are structured financial instruments, not direct equity ownership.” The issuer, Backed Assets (JE) Limited, is registered with the Jersey Financial Services Commission, and its base prospectus was approved by Liechtenstein’s FMA and “is passportable across the EEA.”[^1] The current prospectus is dated 8 May 2026.[^2]

The token is the instrument: “The token is the certificate. Holding the token constitutes holding the instrument.” No transfer agent or register stands behind it. The shares sit in collateral accounts governed by “a three-party Account Control Agreement between the issuer, the custodian or broker, and an independent Security Agent.” If the issuer defaults, “The Security Agent may take control of the collateral accounts, liquidate the underlying assets, and distribute proceeds to token holders.”[^1] The holder is a secured creditor, and the claim ends in cash.

Dividends “are reinvested into additional units of the same asset,” net of tax.[^3] The prospectus lets the issuer charge issue and redemption fees of up to 5% of the price and a management fee of up to 5% a year, and lend the underlying shares where a series’ terms allow.[^2] The issuer’s own redemption desk lists its fee as “currently set to 0.”[^4] In the SEC staff’s terms an xStock is a synthetic tokenized security, a linked security that “confers no rights or benefits from the issuer of the referenced security.”[^5]

## Can a US client own it?

No. “xStocks are not marketed, offered, or solicited in the United States, to U.S. Persons, or in any other prohibited jurisdiction.”[^1] Kraken repeated it when it bought the business: xStocks “are not available in the United States or to U.S. persons.”[^6] The prospectus rests on Regulation S.[^2]

Elsewhere, access is broad. Qualified professional investors may subscribe with the issuer directly, and everyone else through an authorised participant.[^2] On exchanges and DEXs “there is no minimum imposed by the issuer,” and retail holders “are legally permitted to redeem directly with the issuer, subject to KYC requirements and the $5,000 minimum transaction size.”[^3]

## Who holds the freeze key

The prospectus describes narrow powers. The tokenizer may burn tokens “only with regard to ledger-based securities held by itself,” may pause all transfers, and may update the contract. The contract “may block interactions with addresses which have been flagged as sanctioned,” using an outside screening service “such as Chainalysis.” A freeze is described as something that may come later: “A future update of the smart contract functionality may introduce a freezing function and/or extend the burning function.”[^2]

The deployed contracts already hold more. On Solana, each of the eight mints Ketju read on 23 and 24 September 2026 uses the Token-2022 standard with a freeze authority and a permanent delegate. A permanent delegate can transfer or burn tokens from any account without the holder’s signature. That is a claw-back power the prospectus does not describe.[^7] On Ethereum the token is an upgradeable proxy whose owner, a 2-of-3 multisig, can change its code, its minter, and its pauser; the sanctions list that can block an address is owned by a single key.[^8]

## How a holder gets out

Four paths exist, and three need the issuer’s onboarding.

- Redemption for stablecoins. An onboarded holder sends tokens from a whitelisted wallet; the issuer’s broker sells the shares and returns USDC, USDG, or USDT, with a $5,000 minimum, “24/5, aligned with U.S. equity market hours.” The docs promise 30 seconds up to $200,000 and two minutes above it.[^4] The prospectus gives the issuer until the fifth business day.[^2]
- xChange. A request-for-quote: the issuer signs a price and the swap settles on chain in about a minute.[^9]
- xPort, in kind. Tokens are redeemed for shares delivered to an account at the broker Alpaca, after onboarding with both the issuer and Alpaca.[^10]
- A sale. Anyone can sell on an exchange or a DEX, “24/7 on secondary markets,” at whatever the market pays.[^3]

The minimum is not settled. The documentation says $5,000; the issuer’s public API lists a $1,000 minimum order. Ketju’s file records both and treats the conflict as open.[^11]

## What has gone wrong or changed

- 22 May 2025. Backed announced xStocks with “over 55 tokenized stocks and ETFs,” to launch on Kraken and Solana.[^12]
- 2 December 2025. Kraken announced that it had “agreed to acquire Backed Finance AG,” which owns the issuer, and said xStocks had passed “$10 billion in combined exchange and onchain trading volume.”[^6]
- 28 January 2026. SEC staff described the synthetic model and warned that holders “may be exposed to risks with respect to the third party, such as bankruptcy, to which a holder of the underlying security would not necessarily be exposed.”[^5]
- 8 May 2026. The current base prospectus, supplemented on 28 July 2026.[^2][^13]
- 17 September 2026. The SEC’s Innovation Exemption excluded synthetic tokens by definition, so no U.S. venue under it may list an xStock. [The exemption, explained.](/regulation/explained/sec-tokenized-stock-exemption-2026/)
- 23 September 2026. Ketju’s memo rejected the program on access and structure. [The research file](/rejections/xstocks/) gives the reasons.

## What an advisor should record

- That the client holds a Backed Assets (JE) Limited tracker certificate, with the product and its ISIN, and not a share.
- Which chain the token sits on, since the powers differ: Solana mints carry a permanent delegate; Ethereum contracts can be upgraded by a 2-of-3 multisig.
- Where and when the client acquired it, and the client’s U.S.-person status on that date.
- The exit the client actually has: issuer redemption after KYC at $5,000 or more, xPort through Alpaca, or a sale.
- The prospectus in force and its expiry, and any Final Terms that allow lending of the underlying.
- Any use of the permanent delegate or freeze authority against a holder, which reopens the file.
