## Research summary

thBILL is a token Theo sells as on-chain access to ULTRA, a Singapore unit trust that holds ultra-short US Treasuries, repos, and cash. FundBridge Capital manages the trust, Wellington Management picks the bonds, Standard Chartered holds them, and Libeara, a Standard Chartered venture, tokenizes the units. Theo’s page now also names FILQ, Fidelity International’s tokenized liquidity fund, but the contract lists only ULTRA’s wrapper. Theo stands two wrappers away from the fund. Its tULTRA vault counts ULTRA units, and its thBILL vault holds tULTRA. On 2026-09-23 the Ethereum contract held 36.3 million thBILL, about $36.9 million at $1.0148. CoinGecko’s $118 million counts about 120 million tokens that the chain does not show.

Theo’s own docs close the question of the claim: “Participants have no claims over underlying assets.” A holder who passes KYC can redeem for USDC, and Theo names no legal issuer, no governing terms, and no record of holders. Its terms bar US citizens and residents. The chain adds a second problem. The tULTRA vault on Ethereum held no ULTRA units on 2026-09-23. All 35.7 million of its assets were booked as pending, a number Theo’s minting system writes and clears when the fund delivers units, and only 797,543 ULTRA units exist on Ethereum at all.

The assessment is adverse. The underlying fund has sound service providers, but a thBILL holder owns a token with no stated claim on it, backed on chain by a pending entry, from an issuer that does not name itself.

- Theo names the legal issuer of thBILL and publishes terms that give holders a claim on the fund units or their value
- The tULTRA vault takes delivery of ULTRA units on chain, or an independent attestation publishes where the units are held and reconciles them with tULTRA supply
- The thBILL EMERGENCY_ROLE moves to a multisig, or the DEFAULT_ADMIN_ROLE timelock delay changes
- Theo removes the bar on US persons under a published US exemption
- thBILL supply on chain and Theo’s published AUM diverge by more than 10% for 30 days
